Terms of Service

By accessing or using the A65 AI platform and services (the "Services") provided by ATOMMEDIA PTE. LTD. (doing business as "A65 AI," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services. These Terms apply to all users of our Services, including clients, visitors, and anyone who accesses or uses the platform. We reserve the right to update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms.

A65 AI provides an AI-powered advertising platform that includes: • RaaS (Results-as-a-Service): Outcome-based AI advertising that delivers measurable business results. • Media Agent: Automated media buying and optimization across 20+ advertising channels. • Creative Agent: AI-powered creative generation, adaptation, and testing. • Audience Agent: Predictive audience segmentation, targeting, and expansion. • Product Agent: Product feed management, enrichment, and dynamic product advertising. • Analytics & Reporting: Campaign performance tracking, attribution, and business intelligence. We continuously improve our Services and may add, modify, or discontinue features with reasonable notice.

To access certain features of the Services, you must create an account. You agree to: • Provide accurate, current, and complete information during registration. • Maintain the security of your account credentials and notify us immediately of unauthorized access. • Accept responsibility for all activities that occur under your account. • Not share your account credentials with third parties. • Not create multiple accounts for the same individual or entity without our approval. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

• Pricing: Service fees are based on your selected plan and usage. Pricing details are provided in your service agreement or order form. • Billing: Invoices are issued monthly or as specified in your service agreement. Payment is due within 30 days of the invoice date unless otherwise agreed. • Late Payments: Overdue amounts may incur interest at a rate of 1.5% per month or the maximum rate permitted by law. • Taxes: All fees are exclusive of applicable taxes, which are your responsibility. • Refunds: Fees are non-refundable except as required by law or as specified in your service agreement. • RaaS Pricing: For Results-as-a-Service engagements, billing is based on delivered outcomes as defined in your service agreement.

• Our IP: The A65 AI platform, including all software, algorithms, AI models, documentation, and branding, is our intellectual property and is protected by applicable laws. • Your Content: You retain ownership of all content, data, and creative assets you upload to or generate through our platform ("Your Content"). • License to Us: You grant us a non-exclusive, worldwide license to use, process, and store Your Content solely for the purpose of providing our Services. • AI-Generated Content: Creative assets generated by our AI agents are owned by you, subject to any third-party licensing terms for underlying assets. • Feedback: Any feedback, suggestions, or ideas you provide about our Services may be used by us without obligation or compensation.

You agree not to: • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations. • Upload or distribute malicious code, viruses, or harmful content. • Attempt to gain unauthorized access to our systems or other users' accounts. • Interfere with or disrupt the integrity or performance of the Services. • Reverse engineer, decompile, or disassemble any part of the Services. • Use the Services to create competing products or services. • Violate advertising platform terms of service through your use of our platform.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: • Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the fees paid by you in the twelve (12) months preceding the claim. • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. • We are not liable for third-party actions, including decisions made by advertising platforms regarding your campaigns. • We do not guarantee specific advertising results, performance metrics, or outcomes.

You agree to indemnify, defend, and hold harmless ATOMMEDIA PTE. LTD., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: • Your use of the Services. • Your violation of these Terms. • Your violation of any third-party rights. • Your Content uploaded to or processed through our platform.

• By You: You may terminate your account at any time by contacting us at legal@a65.ai. • By Us: We may suspend or terminate your access to the Services at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice. • Effect of Termination: Upon termination, your right to use the Services ceases immediately. We will make your data available for export for 30 days after termination.

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

• Entire Agreement: These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and A65 AI. • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. • Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision. • Assignment: You may not assign your rights under these Terms without our prior written consent.
